1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the Linkverse mobile application and website, operated by Linkverse Global LLC ("Company," "we," "our," or "us"). By creating an account or using any part of the platform, you agree to these Terms in full.

2. Eligibility

• You must be at least 18 years old to use Linkverse.
• You must provide accurate and complete information during registration.
• You are responsible for maintaining the confidentiality of your login credentials.
• One account per person — multiple accounts may be suspended without notice.

3. Platform Description

Linkverse is a social appreciation platform that connects patrons with creatives, DJs, entrepreneurs, and event organizers through a coin-based economy. Features include Spark Linky appreciation payments, event management, food ordering, messaging, and community engagement tools.

4. Linkverse Coins and Virtual Currency

Purchasing Coins

• Coins are virtual currency purchased with real money via Stripe or PayPal.
• All coin purchases are final and non-refundable unless required by applicable law.
• Purchased coins are for use within Linkverse, cannot be redeemed for cash, and cannot be transferred as personal payments. Eligible creator or service earnings are recorded separately and may qualify for withdrawal under the rules below.

Using Coins

• Coins may be used for Spark Linky, an appreciation payment tied to a qualifying service, content, media, entertainment, performance, or experience that a currently eligible recipient is providing or has provided.
• Spark Linky is a financial contribution to the recipient in appreciation of their qualifying offering. The recipient and offering must meet the platform's eligibility requirements.
• For content and livestream sparks, sparks to “other users” mean sparks to eligible creators or performers in connection with specific content, a livestream, or linked creator content that the platform can verify belongs to that recipient. An account, profile link, or external URL alone is not sufficient.
• Separate service and event appreciation may also be available for verified completed services or eligible active event work by approved providers and staff. These payments must be tied to that qualifying activity; they are not unrestricted sparks to other users.
• Spark Linky payments are subject to a 15% platform fee deducted from each transaction.
• Event tickets are subject to a 12% platform fee.
• Creative and service sales are subject to a 15% platform fee.

Cashouts and Withdrawals

• Only eligible earned funds shown as available creator earnings in Wallet may be requested for cash-out. Purchased coins cannot be cashed out. A request cannot exceed either your available wallet balance or your eligible earnings balance.
• Open Wallet, choose an available cash-out method, complete its required setup, enter the amount, and submit a withdrawal request. Bank details are entered securely through Stripe Connect, not sent to another user or collected in a post or message.
• The current minimum is $50 USD (50 coins), before fees and the maximum per request is 500,000 coins. A 3% processing fee, rounded down to whole coins, is deducted from the requested amount. Wallet shows the applicable conversion and estimated net payout; this fee is separate from fees already deducted when earnings were received.
• New accounts must wait at least 7 days before their first withdrawal. After a completed withdrawal, there is a 3-day waiting period before another request. Only one pending or processing withdrawal is allowed at a time.
• Submitting a request reserves and deducts the requested amount from your spendable balance and eligible earnings while it is reviewed. A submitted or approved request is not proof that a bank payment has been completed; check its status in Wallet.
• Withdrawals require platform review and applicable identity, business, tax, and payout-provider verification. For bank cash-out, Stripe onboarding must be completed and payouts enabled. Country selection alone does not establish eligibility, and supported methods and countries depend on provider approval and availability.
• Live bank transfers are currently disabled pending the production payout rollout. Completing bank setup or displaying a balance does not guarantee that a live transfer is available. Cash-out is available only when the relevant method has been enabled and all requirements are met.
• We may delay or deny a request for suspected fraud, disputes, chargebacks, policy violations, or incomplete verification. Provider processing times vary; we do not guarantee instant payment or a fixed arrival date. Use Help & Support for a failed, delayed, or disputed withdrawal.

5. User Conduct & Acceptable Use Policy

You agree not to:

• Use the platform for any unlawful, harmful, or fraudulent purpose
• Post, upload, livestream, share, link to, advertise, solicit, sell, or facilitate adult content or services, nudity, pornography, or explicit sexual acts. Sexual services, escort services, and sexual performances are prohibited, whether paid or unpaid.
• Use sparks, coins, payments, messages, profiles, listings, events, or linked content to purchase, promote, or reward prohibited adult content or services. These restrictions apply throughout the platform, including private messages and external links, even between consenting adults.
• Harass, threaten, bully, stalk, or abuse other users in any form
• Post, share, or transmit content that promotes hatred, discrimination, or violence against any individual or group based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, age, or disability
• Post, share, or transmit illegal content including but not limited to child exploitation material, non-consensual intimate imagery, or content that promotes illegal activities
• Post content that is defamatory, obscene, or infringes on intellectual property rights
• Engage in predatory behaviour, grooming, or exploitation of minors
• Attempt to manipulate rankings, Spark Linky payments, or platform metrics through artificial means
• Share login credentials or impersonate another person
• Circumvent security features or attempt to hack the platform
• Use automated bots or scripts to interact with the platform
• Spam, flood, or send unsolicited messages or content to other users

Users who encounter violations should use the in-app reporting tools to flag content or users. Reports are reviewed by our moderation team and appropriate action is taken promptly. Users may also block other users to prevent further interaction.

6. User Content

By posting content (photos, videos, audio, text) on Linkverse, you grant Linkverse Global LLC a worldwide, royalty-free, non-exclusive license to use, display, and distribute that content within the platform. You retain ownership of your content.

You are solely responsible for the content you post. We do not endorse user content and may remove content that violates these Terms without notice. Content that is flagged or reported is reviewed by our moderation team and may be removed if it violates these Terms or our community guidelines.

7. Events and Tickets

• Event organizers (Promoters) are responsible for accurate event information.
• Ticket purchases are processed through Stripe and are subject to the event organizer's refund policy.
• Linkverse is not responsible for cancelled events, but will facilitate refund requests where applicable.
• Event entry may require QR code verification via the Linkverse app.

8. Food Ordering and Vendor Services

• Food and vendor orders placed through Linkverse are fulfilled by independent vendors.
• Linkverse is not responsible for order quality, accuracy, or food safety.
• Disputes regarding food orders should be directed to the relevant vendor or our support team.

9. VIP Subscriptions

• VIP memberships are billed monthly or annually depending on the selected plan.
• VIP benefits include enhanced Spark Linky modes, boosts, and priority features as described on the platform.
• Subscriptions auto-renew unless cancelled before the renewal date.
• Refunds for VIP subscriptions are handled on a case-by-case basis.

10. Account Suspension and Termination

We may suspend or terminate your account at any time, with or without notice, if:

• You violate these Terms
• We detect fraudulent or abusive activity
• Required by law or regulatory authority
• We discontinue the service

Upon termination, your access to the platform and any remaining coin balance may be forfeited, except where refund obligations apply under applicable law.

11. Intellectual Property

The Linkverse name, logo, branding, and platform software are owned by Linkverse Global LLC. You may not copy, reproduce, or create derivative works from our intellectual property without express written permission.

12. Disclaimers and Limitation of Liability

Linkverse is provided "as is" without warranties of any kind. We do not guarantee uninterrupted or error-free service. To the fullest extent permitted by law, Linkverse Global LLC shall not be liable for any indirect, incidental, or consequential damages arising from your use of the platform.

Our total liability to you for any claim shall not exceed the amount you paid to us in the 30 days preceding the claim.

13. Privacy

Your use of Linkverse is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes through the app or via email. Your continued use of Linkverse after changes are posted constitutes your acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the jurisdiction in which Linkverse Global LLC is registered. Any disputes shall be resolved through binding arbitration or the courts of that jurisdiction, as applicable.
